Welcome to GDI Technology Inc. These Terms and Conditions outline the rules and regulations for the use of our website, products, and services.
By accessing this site or purchasing from GDI Technology Inc., you agree to these Terms and Conditions.
This document supersedes all prior versions and may be updated without prior notice.
Invoices are due upon receipt for all GDI customers with approved credit unless otherwise agreed in writing.
All items remain the property of GDI Technology Inc. until payment has cleared GDI’s bank account.
Late payments are subject to a 2% monthly service charge, and the buyer shall be responsible for all collection and attorney fees in the event of default.
GDI reserves the right to suspend further deliveries if outstanding balances remain unpaid.
The Customer shall pay and hold GDI harmless from all applicable taxes, tariffs, or duties arising from any purchase.
If tax-exempt, the Customer must provide a valid exemption certificate for the current year prior to shipment.
GDI Technology Inc. maintains inventory in both bonded and non-bonded facilities in Miami, Florida, as well as at its manufacturing facility in China.
Orders may be fulfilled and shipped from any of these locations depending on product availability, customer location, and the applicable Incoterms specified in the quotation or invoice.
Lead times vary by product and are clearly indicated in each quotation provided to the Customer.
Estimated delivery times are based on current inventory levels, production schedules, and carrier availability, but are not guaranteed.
All shipping or delivery dates are estimates only; GDI shall not be liable for any loss, penalty, or consequential damages resulting from delays.
Delays caused by customs clearance, shipping carriers, manufacturers, or events beyond GDI’s control shall not constitute a breach of contract or give rise to penalties or cancellation rights.
Unless otherwise agreed in writing, shipments are made according to Incoterms® 2020, as defined in the Customer’s quotation, purchase order, or invoice. Typical terms include:
GDI may, at its discretion, select the carrier and arrange transportation on behalf of the Customer unless alternate freight instructions are provided prior to shipment.
All freight, handling, insurance, import/export duties, and customs clearance charges are the sole responsibility of the Customer unless otherwise specified in writing.
Title to the goods shall not pass to the Customer until payment has been received in full, even if possession or shipment has occurred.
All international shipments are subject to applicable U.S. export control laws, regulations, and restrictions, including those administered by the U.S. Department of Commerce (BIS) and the U.S. Department of the Treasury (OFAC).
The Customer agrees not to export, re-export, or otherwise transfer any GDI Technology products or related technical data in violation of such laws.
Unless otherwise specified in writing, the Customer shall act as the Importer of Record for all shipments and is fully responsible for:
For goods shipped from GDI’s bonded warehouse, release and export will only occur after all applicable export documentation and payments are completed.
GDI assumes no responsibility for delays caused by customs authorities, incomplete documentation, or the Customer’s failure to secure necessary import/export approvals.
If any shipment is returned to GDI due to the Customer’s failure to comply with import regulations, refusal to accept delivery, or incorrect consignee information, all return shipping, storage, and handling costs shall be billed to the Customer.
Prices are subject to change without notice.
GDI reserves the right to adjust prices for changes in tariffs, duties, freight costs, manufacturer pricing, or exchange rates prior to shipment.
Orders pending shipment may be subject to updated pricing, and GDI will notify the Customer accordingly.
All refurbished, used, or reconditioned products sold by GDI Technology Inc. carry a 90-day limited hardware warranty from the date of shipment, unless otherwise stated on the invoice.
If the invoice specifies “Warranty X% Seedstock,” then no additional warranty applies beyond the X% of seedstock designated as warranty units.
The remainder of the lot is sold “AS IS” with no warranty of any kind.
This limited warranty excludes any damage or defects resulting from lightning, power surges, improper voltage, mishandling, customer abuse, modification, or use outside normal operating conditions.
GDI Technology’s total liability under this clause is strictly limited to replacement or refund of the product, at GDI’s sole discretion.
Except as expressly provided, all products and services are provided “AS IS” without any warranty of any kind, either expressed or implied, including but not limited to merchantability, fitness for a particular purpose, or noninfringement.
GDI shall not be responsible for any damages caused by misuse, modification, accidents, acts of God, or failure to follow operating instructions.
The Customer agrees to indemnify, defend, and hold harmless GDI Technology Inc., its officers, employees, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising out of or related to:
The Customer agrees not to export, re-export, or resell any GDI products in violation of U.S. export control laws, international sanctions, or to any restricted entities or countries.
Products may not be modified, reverse-engineered, or rebranded without prior written consent from GDI Technology Inc.
Violation of this clause may result in immediate termination of the business relationship and legal action for damages or injunctive relief.
Under no circumstances shall GDI Technology Inc. be liable to any party for direct, indirect, incidental, consequential, or punitive damages arising out of the use or inability to use its products or services.
Total liability shall not exceed the purchase price of the product giving rise to the claim.
This limitation applies even if GDI has been advised of the possibility of such damages.
GDI Technology Inc. shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, supply shortages, strikes, wars, terrorism, government action, shipping delays, or buyer-caused interruptions.
In such cases, the delivery period shall be extended for the duration of the delay.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Any disputes shall be brought exclusively in the state or federal courts of Miami-Dade County, Florida.
Both parties consent to the jurisdiction and waive any objections to venue or forum.

All images, logos, trademarks, and documentation provided by GDI Technology Inc. are protected by copyright and intellectual property law.
Unauthorized use, reproduction, or redistribution is prohibited.
Resellers or distributors must obtain written permission before using any GDI images, content, or product documentation.
Proper credit must be given when use is authorized.
Unauthorized use may result in termination of reseller authorization and legal action for damages or injunctive relief.
By purchasing products, accessing our website, or using our services, the Customer acknowledges and agrees to these Terms and Conditions in full.
GDI Technology Inc. reserves the right to update or modify these Terms at any time without prior notice.
